Changes to the General Conditions

Changes to the General Conditions Merchant Services and the General Conditions for Migrated Merchants

We are making changes for merchants who opened their facility before 19 September 2024, whose Agreement relies on the ‘General Conditions Merchant Services’ or the ‘General Conditions for Migrated Merchants’ and who have not otherwise been notified that this change does not apply to them.

Effective 18 November 2024, the General Conditions Merchant Services and the General Conditions for Migrated Merchants are being updated.  A summary of the changes is available below.

We recommend you read these and keep a copy for your records.

Merchants can terminate their facility at any time on 30 days’ notice.

Summary of changes to General Conditions Merchant Services

We’re introducing new clauses relating to:

  • Situations where we can withhold or reduce a Merchant’s settlement amount where directed by Law or an authority (clause 16.4); and
  • Our right to terminate if a Merchant is or has engaged in activity which exposes Worldline or has exposed Worldline to unreasonable operational risk or potential fines or penalties imposed under relevant Law (clause 50(iii)(m)).

If your General Conditions are not the latest version dated November 2023, we’re also making changes to:

  • Clarify the circumstances where we can immediately suspend your Merchant Facilities (clause 49(i));
  • Update clauses relating to Online Payment Acceptance Services to reflect the new name of our Gateway, ‘Worldline Global Online Pay’ (various clauses including clauses 2, 30 and 31);
  • Introduce a definition of the Tap on Mobile Subscription Fee and explain how this fee will be charged and the impact on settlements (if applicable) (clauses 2 and 16.1);
  • Clarify how we will notify you of changes to your Agreement that are beneficial to you (clause 52);
  • Remove references to the Australian Securities and Investments Commission Act 2001 (Cth) where that does not apply to your agreement (various clauses including clauses 25, 27 and 42);
  • Correct some clause numbering, other minor typographical errors and make some changes that are favourable to merchants; and
  • For merchants whose Agreement does not already provide for Alipay+ and WeChat Pay, introduce the ability to accept payments through Alipay+ and WeChat Pay using your eligible terminal (currently, Move 5000) or Worldline Global Online Pay Merchant Facilities, as well as related rights and obligations and information about how we will manage and disclose information to Alipay+ and WeChat Pay, (clauses 2 and 6).  For more information about Alipay+ and WeChat Pay, see Alipay+ and WeChat Pay (anzworldline.com.au).

Summary of changes to General Conditions Migrated Merchants

We’re introducing new clauses relating to:

  • Situations where we can withhold or reduce a Merchant’s settlement amount where directed by Law or an authority (clause 14(iii));
  • Our right to terminate if a Merchant is or has engaged in activity which exposes Worldline or has exposed Worldline to unreasonable operational risk or potential fines or penalties imposed under relevant Law (clause 43(ii)(m)).

If your General Conditions are not the latest version dated November 2023, we’re also making changes to:

  • Clarify the documents that form part of your Agreement with us (clauses 1 and 5);
  • Clarify the definition of Authorised Floor Limit, Business Day, Card Present Transaction, Nominated Card, Recurring Transaction, Special Condition and Terminal Guide (clause 2);
  • Update the definition of Insolvency Event, including to cover situations impacting Guarantors (clause 2);
  • Clarify that your facility can only be used for a business carried on by the Merchant in Australia (clause 4);
  • Clarify that the Merchant must not process a transaction using a Nominated Card linked to an account maintained for the merchant’s own purposes (clause 6);
  • Update provisions relating to split value transactions, including to cover debit transactions (clause 7(iv)(a));
  • Update the clause relating to Back-Up Mode, including to warn about the additional risk of using Back Up Mode (clause 8);
  • Clarify that a transaction that has been authorized may still involve risk to the Merchant (clause 9);
  • Clarify a Merchant’s liability in relation to Refunds (clause 10(v));
  • Clarify that a transaction is invalid if it is processed in breach of any Laws (clause 11);
  • Clarify that Worldline may refuse to accept a Transaction or charge a Transaction back to the Merchant within two years of the date of the Transaction, where required by a Nominated Card Scheme (clause 12(i));
  • Update our rights in relation to Retention Accounts (clause 17);
  • Clarify a Merchant’s obligations in relation to the DCC Service and chargebacks (clause 27);
  • Clarify the circumstances where we can immediately suspend Merchant Facilities (clause 42);
  • Explain our approach to varying Terminal Guides and Merchant Operating Guides (clause 45);
  • Update how we will notify you of changes that are beneficial to you (clause 45);
  • Introduce a new clause relating to mistakes (clause 57);
  • Make changes beneficial to merchants; and
  • Correct clause numbering and simplify some language and clauses.

ANZ Worldline Payment Solutions Platform Customers

If you have an ANZ Worldline Payment Solution merchant agreement and you no longer require it, please call ANZ Worldline Payment Solutions on 1800 039 025 to request its closure. If we require you to complete the Merchant Maintenance form requesting closure of your Merchant Facility before your Merchant Facility can be closed, we will advise you of this.

You will need to immediately arrange with ANZ Worldline Payment Solutions for the return of  all stationary (excluding stationary paid for by you), promotional material, transaction vouchers, card imprinters or equipment (including electronic terminals) supplied by you.
